These Terms of Use (“Terms”) govern your access to and use of Engivio, operated by Engivio Inc. (“Engivio,” “we,” “our,” or “us”).

By accessing or using Engivio's mobile application, website, digital communication or related services (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree, you may not use our Services.

1. What Engivio Is (and Is Not)

Engivio is a non-clinical digital platform designed to support surgery preparation, recovery, progress tracking, and educational guidance.

Engivio:

• Does not provide medical advice, diagnosis, or treatment
• Does not prescribe medications or therapeutic interventions
• Does not replace professional medical care
• Does not operate as a healthcare provider, covered entity, or electronic medical record system

All content, insights, and tools provided through Engivio are for informational, educational, and personal tracking purposes only.

2. Eligibility & Appropriate Use

To use Engivio, you must:

• Be 18 years of age or older
• Be able to engage in self-directed use of a digital wellness platform
• Have, or have access to, a licensed healthcare professional overseeing your care
• Be in generally good health and capable of self-directed recovery

Engivio is not intended for:

• Emergency use and urgent medical situations
• Individuals who require constant medical supervision
• Situations where immediate clinical decision-making is required

If your health status changes such that Engivio is no longer appropriate, you agree to discontinue use and seek professional medical care.

3. No Medical Advice or Emergency Use

You acknowledge and agree that:

• Engivio does not provide medical advice or clinical services
• Any health-related decisions must be made in consultation with your physician
• Engivio must never be used for medical emergencies

If you believe you are experiencing a medical emergency, call 911 (or your local emergency number) or seek emergency medical care immediately.

4. Artificial Intelligence (AI) Functionality and Limitations

Engivio may use artificial intelligence (AI) to support certain platform features, such as:

• Summarizing user-reported progress or check-ins
• Highlighting patterns or trends based on user history and engagement data
• Analyze patient-reported outcome measures (PROMS)
• Providing personalized insights related to readiness and recovery

You acknowledge that:

• AI-generated insights are informational only
• AI outputs are based on patterns, not individualized clinical assessments
• AI does not diagnose, treat, cure, or prevent any condition
• You must consult a licensed healthcare professional before acting on AI-generated information

5. Recovery Coaches and Customer Support

Engivio may offer access to human-led recovery support such as coaches and support representatives.

You understand and agree that:

• Coaches and support representatives are not licensed medical professionals
• Coaching and support are provided for general wellness, education, and encouragement
• Coaches do not provide medical advice or clinical recommendations

You remain solely responsible for seeking appropriate medical care. Engivio is not liable for misuse of coaching services or failure to seek proper medical care.

6. Data Collection, Privacy and Apple Health

Your use of Engivio is subject to our Privacy Policy, which explains how we collect, use, and protect your information.

These are the types of information we collect:

• Self-reported health data (e.g. pain levels, mobility and activity progress)
• Platform usage data (e.g., interactions with AI recommendations, engagement patterns, feature usage).
• Demographic data (collected with user consent for accessibility, research, and service improvements).

We only use your data to:

• Personalize recovery recommendations.
• Optimize platform functionality.
• Conduct de-identified research for analyzing recovery trends.

How we protect your data:

• We do not sell personal data
• Health or wellness information is voluntarily provided
• Apple Health data is accessed only with your explicit permission, used solely for personal recovery insights, progress tracking and never for advertising

By using Engivio, you agree that:

• You are responsible for your own health decisions
• You will consult a healthcare professional before making medical changes
• You will use our Services only for their intended, non-clinical purpose

• You will not hold Engivio liable for any medical outcomes resulting from AI-generated insights or recovery support.

The Services are provided “as is” and “as available.”

To the fullest extent permitted by law:

• Engivio makes no warranties regarding accuracy, completeness, or suitability for medical purposes
• We do not guarantee specific outcomes or recovery results

9. Limitation of Liability

To the maximum extent permitted by law, Engivio shall not be liable for:

• Medical outcomes or complications
• Decisions made based on AI-generated insights
• Failure to seek professional medical care
• Indirect, incidental, or consequential damages

10. Account Deletion & Termination

You may delete your account at any time by sending a request within the app.

We may suspend or terminate access if:

• These Terms are violated
• The Services are misused
• Continued use poses security or legal risk

11. Changes to These Terms

We may update these Terms periodically. If significant changes are made, we will notify users via the app or email. Continued use of our Services after changes take effect constitutes acceptance.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Arbitration

Disputes shall be resolved through binding arbitration on an individual basis.

No Class Actions

You agree to bring claims only in your individual capacity.

If arbitration is found unenforceable, disputes shall be resolved in courts located in Austin, Texas.
